Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the ArmoSense platform, including all associated services, software, APIs, and documentation (collectively, the "Service"), provided by Armologic Ltd, a company incorporated in England and Wales (company number 15518194), with its registered office at 86-90 Paul Street, London, EC2A 4NE, United Kingdom ("we", "us", "our", or "Armologic").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Definitions
- "Account" means the account you create to access the Service.
- "Agent" means the ArmoSense software component installed on your server(s) to provide WAF/RASP protection.
- "Control Plane" or "ASCP" means the hosted management dashboard at armosense.com.
- "Customer Data" means any data you or your end users transmit through or store in the Service.
- "Subscription" means your paid plan (Standard, Professional, or Enterprise) as described on our Pricing page.
- "Tenant" means your isolated organisational workspace within the Service.
3. Account Registration
To use the Service, you must register for an Account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your password and Account credentials.
- Accept responsibility for all activities that occur under your Account.
- Notify us immediately of any unauthorised use of your Account.
You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.
4. Subscriptions and Payment
4.1 Plans
The Service is offered under tiered subscription plans (Standard, Professional, and Enterprise), each with defined feature limits as described on our Pricing page. A free trial period may be offered at our discretion.
4.2 Billing
Payments are processed by our authorised payment provider, Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles all billing, invoicing, sales tax, and VAT on our behalf. By subscribing, you also agree to Paddle's Terms of Use and Privacy Policy.
4.3 Subscription Terms
- Subscriptions are billed monthly or annually, depending on your selection.
- Annual subscriptions are billed upfront for the full year at a discounted rate.
- Subscriptions automatically renew at the end of each billing period unless cancelled.
- Price changes will be communicated at least 30 days in advance and will apply from the next billing period.
4.4 Upgrades and Downgrades
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period.
5. Free Trial
We may offer a free trial for a limited period. During the trial, you have access to the features of the selected plan. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. No charges will be made until the trial period expires.
6. Use of the Service
6.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to violate any applicable law or regulation.
- Attempt to gain unauthorised access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit malware, viruses, or other harmful code.
- Resell, sublicense, or distribute the Service without our prior written consent.
- Use the Service to conduct denial-of-service attacks or similar harmful activities.
6.2 Agent Software
The Agent is provided as a binary for installation on your server(s). You are granted a non-exclusive, non-transferable licence to use the Agent solely in connection with the Service during your active subscription. The Agent must be used in accordance with the documentation provided.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to the terms of our Privacy Policy.
7.1 Customer Data
You retain ownership of all Customer Data. You grant us a limited licence to process Customer Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Customer Data for any purpose other than as set out in our Privacy Policy and these Terms.
7.2 Security Telemetry
The Service collects security telemetry data (e.g., request metadata, attack signatures, anomaly scores) from your Agents. This data is used to provide threat detection and alerting. We may use anonymised and aggregated telemetry data to improve the Service's detection capabilities.
8. Intellectual Property
The Service, including all software, documentation, algorithms, models, and designs, is the intellectual property of Armologic Ltd and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you, except the limited licence to use the Service as described herein.
9. Service Level and Availability
We strive to maintain high availability of the Control Plane. However, we do not guarantee 100% uptime. The Agent is designed to operate independently during Control Plane outages, with up to 30 days of offline tolerance. We will provide reasonable notice of planned maintenance.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total aggregate liability shall not exceed the amounts paid by you in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Armologic Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
12.1 By You
You may cancel your subscription at any time through the Service dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. See our Refund Policy for details on refund eligibility.
12.2 By Us
We may suspend or terminate your Account if you breach these Terms, if your payment fails and is not resolved within 14 days, or if required by law. We will provide reasonable notice where possible.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request a data export. After 30 days, your data will be permanently deleted in accordance with our data retention policies.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General
- Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Armologic Ltd regarding the Service.
- Severability: If any provision of these Terms is found to be invalid, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
